Turnaround & Special Situations

Stabilize first. Diagnose second. Rebuild deliberately.

Emergency medicine teaches a useful discipline: when several things are wrong simultaneously, treating them in the wrong order can be as dangerous as doing nothing. Businesses experience the same problem.

Sometimes the solution is not another intervention. It is the right counterparty.

Method

Business Triage

Cash flow, creditors, taxes, contracts, staffing, operations, properties, lenders, litigation, and management can all appear urgent at once. The first task is determining what can actually kill the enterprise. Everything else is sequenced behind it.

Potential areas

  • · Distressed small businesses
  • · Physician-owned businesses
  • · Troubled properties
  • · Distressed real estate portfolios
  • · Cash-flow crises
  • · Creditor pressure
  • · Receivables
  • · Contract problems
  • · Lender / borrower situations
  • · Operational stabilization

Special Situations

Problems that sit between professional categories

A business may have valuable assets but inadequate liquidity.

A property may have a viable use but the wrong operating structure.

A creditor and borrower may both benefit from a solution that neither has yet identified.

An owner may need to sell, recapitalize, restructure, replace an operator, collect a receivable, negotiate with stakeholders, or identify a strategic partner.

My role is to help diagnose the situation, determine what outcome is realistically achievable, organize the relevant facts, identify potential paths forward, and, where appropriate, make strategic introductions to people who may be able to help complete the solution.

Strategic Introductions

Sometimes the missing ingredient is the right counterparty.

Not every distressed situation can be solved from inside the existing organization. Sometimes the missing ingredient is the right buyer, operator, lender, strategic partner, adviser, or other counterparty.

Where appropriate, I help identify potentially useful connections and bring the right people into the conversation: attorneys, accountants, restructuring professionals, brokers, lenders, investors, operators, buyers, or other specialists.

The purpose is not simply to make introductions. It is to understand the underlying problem well enough to know which introduction might actually change the outcome.

Possible Paths

What a resolution can look like

Stabilize Restructure Reactivate Collect Renegotiate Partner Sell Acquire Refinance Replace an operator Introduce a specialist Exit

Some of these paths involve regulated professional work. My role can be diagnostic, advisory, organizational, connective, or collaborative; where a path requires a licensed or regulated professional, the right specialists are brought in.

Something going wrong faster than you can fix it?

Describe the situation in broad strokes: what the business or asset is, what is failing, and how much time you think you have. A short conversation is usually enough to tell whether I can help.

Discuss a Business Situation
Business and special-situations advisory services are provided in a consulting capacity. They do not constitute legal, accounting, tax, investment, securities, real-estate brokerage, financing brokerage, or bankruptcy advice or services. Where a matter requires a licensed or regulated professional, appropriate outside professionals should be engaged. Strategic introductions are made where appropriate and do not constitute a representation that financing, investment, acquisition, sale, or any other transaction will be completed. Engagement structures depend on the nature of the matter and are agreed separately after initial review.

What the work can clarify

Problem: several urgent business issues compete for attention and the order of action is unclear.

Method: organize the relevant facts, identify immediate dependencies, stress-test assumptions, and frame practical paths that may require the right outside specialists.

Work product: a diagnostic analysis, issue map, written priorities, decision framework, or next-step plan, as agreed in writing.

Scope: this work does not provide legal, accounting, tax, investment, securities, brokerage, financing, or bankruptcy services. Those decisions belong with the appropriate licensed professionals.
